Article 2 – Definitions and Scope

2.1 In these Terms:

– "Buyer" means any person who places an Order with the Seller, whether a Consumer or a Business Customer.

– "Consumer" means a natural person who, when concluding and performing the Contract, is not acting for the purposes of their trade, business, craft or profession.

– "Business Customer" means a legal or natural person acting for the purposes of their trade, business, craft or profession, including hotels, restaurants, cafés, caterers and their purchasing agents.

– "Bespoke Goods" means goods manufactured to the Buyer's specifications or clearly personalised, in particular goods bearing the Buyer's logo, name, text or artwork by printing, UV printing, engraving, embossing or similar techniques, or goods made to non-standard dimensions.

– "Contract" means the contract of sale concluded between the Seller and the Buyer under Article 3.

– "Order" means the Buyer's offer to purchase goods submitted via the Website, by e-mail or by telephone.

– "Website" means the online shop at www.mrhoreca.eu.

2.2 These Terms apply to all Contracts concluded via the Website, by e-mail, by telephone or otherwise at a distance. Provisions marked "Consumers only" apply solely to Consumers; provisions marked "Business Customers only" apply solely to Business Customers. All other provisions apply to both.

2.3 Nothing in these Terms excludes or limits any right that a Consumer has under mandatory law, in particular Slovak Act No. 40/1964 Coll. (the Civil Code), Act No. 108/2024 Coll. on Consumer Protection and the mandatory consumer protection rules of the Consumer's country of habitual residence. Any provision contrary to such law shall not apply to Consumers.

2.4 Business Customers only: Contracts with Business Customers are governed by Act No. 513/1991 Coll. (the Commercial Code). The Buyer's own terms and conditions shall not apply, even if referred to in an order or not expressly rejected by the Seller.

2.5 By entering a company name and company ID when ordering, the Buyer confirms that it is acting as a Business Customer.

Article 3 – Conclusion of the Contract

3.1 Product presentations on the Website, in catalogues and in price lists are an invitation to submit an Order and do not constitute a binding offer by the Seller.

3.2 Ordering via the Website. The Buyer:

1. selects a product and, where available, sets its parameters in the product configurator (Article 4);

2. reviews the basket, where the parameters may be changed or items removed;

3. selects the delivery method and payment method;

4. enters billing and delivery details, selecting "Company" when purchasing as a Business Customer;

5. reviews the order summary, including the total price, delivery costs and expected delivery date, and may correct any input errors;

6. submits the Order by clicking the button labelled "Order with obligation to pay".

3.3 The Seller will send an automatic e-mail acknowledging receipt of the Order. This acknowledgement is not an acceptance of the Order.

3.4 The Contract is concluded when the Seller accepts the Order by sending an order confirmation by e-mail, or by dispatching the goods, whichever occurs first. For Bespoke Goods, the Contract is concluded upon the Buyer's written approval of the proof under Article 4 and, where requested, receipt of the advance payment under Article 5.

3.5 Orders by e-mail or telephone, and individual quotations for Bespoke Goods, become binding only upon the Seller's written confirmation by e-mail. A quotation is valid for 30 days unless stated otherwise.

3.6 The Seller may decline an Order, in particular where goods are unavailable, the price was obviously incorrect, or the Buyer has outstanding payments. The Seller will inform the Buyer without undue delay and refund any payment already received.

3.7 Minimum order quantities. Collections, menu covers and serving accessories are sold in minimum quantities of 20 units per item, unless stated otherwise on the product page.

3.8 Cancellation before production. The Buyer may cancel an Order free of charge by e-mail to info@mrhoreca.eu within 2 hours of receiving the order confirmation, provided production or dispatch has not begun. This does not affect a Consumer's statutory right of withdrawal under Article 8.

3.9 Once concluded, the Contract (including the agreed price) may be amended or terminated only by agreement of the parties or on grounds provided by law. The Contract is archived by the Seller in electronic form and is not publicly accessible; the Buyer receives the order confirmation and these Terms in durable form by e-mail.

3.10 The Contract is concluded in English.

Article 4 – Product Configurator, Bespoke Goods and Proofs

4.1 The configurator for menu covers and serving accessories allows the Buyer to select dimensions, colour, finish, the internal page-holding system (Tangram system) and personalisation.

4.2 The configurator for A-frame boards, wall boards and table boards allows the Buyer to select board dimensions, writing-surface material, frame colour, and UV printing of the writing surface or engraving of the wooden parts.

4.3 For Bespoke Goods, the Seller will send the Buyer a digital proof (visualisation) before production. Production begins only after the Buyer approves the proof in writing (including by e-mail). The Buyer is responsible for checking all text, spelling, logos, colours and dimensions in the proof. Errors contained in an approved proof are not a defect.

4.4 Colours on screen and in digital proofs may differ from the finished product owing to display settings and printing technology. Minor deviations in colour shade, print density and positioning within customary industry tolerances are not a defect.

4.5 Products made of natural materials, in particular wood and leather, show natural variations in grain, texture, colour and knots. No two pieces are identical. Such variations are an inherent characteristic of the material and are not a defect.

4.6 Business Customers only: For Bespoke Goods, the delivered quantity may deviate from the ordered quantity by up to ±5% owing to production processes; the price is adjusted to the quantity actually delivered.

Article 5 – Prices and Payment

5.1 Prices are stated in euro (EUR). Prices shown to Consumers include VAT at the applicable rate. Prices for Business Customers are stated exclusive of VAT, unless indicated otherwise. Delivery costs are stated separately before the Order is submitted.

5.2 The Buyer may pay by:

– cash on delivery, paid to the carrier on receipt of the goods;

– bank transfer in advance on the basis of a pro forma invoice;

– card payment via the Website's payment gateway;

– cash or card on personal collection at the operating address;

– Business Customers only: bank transfer on the basis of an invoice with a due date of 14 days, if agreed by the Seller.

5.3 For Bespoke Goods, the Seller may require an advance payment of 60% of the total price before production begins. The balance is payable before dispatch or on delivery.

5.4 The Seller will issue a tax document (invoice) in electronic form and send it to the Buyer's e-mail address, or hand it over with the goods.

5.5 Business Customers only: If the Buyer is late in paying, the Seller may charge statutory default interest under the Commercial Code and a fixed sum of EUR 40 as compensation for recovery costs, in accordance with Directive 2011/7/EU on combating late payment. The Seller may also suspend further deliveries until all overdue amounts are paid.

5.6 If the Buyer fails to accept goods sent cash on delivery, the Seller may claim the costs of delivery and return of the shipment. For Bespoke Goods, the Buyer remains obliged to pay the price.

Article 6 – Delivery

6.1 Goods in stock are dispatched within 1–3 working days of conclusion of the Contract. The delivery time for Bespoke Goods is agreed individually before production begins and is stated in the order confirmation.

6.2 Goods are delivered by courier or the Seller's contracted carrier to the agreed delivery address on working days, or may be collected in person at Puškinova 9, 085 01 Bardejov, by prior arrangement. Delivery costs are borne by the Buyer according to the applicable price list; no delivery costs apply to personal collection.

6.3 Consumers only: Unless another delivery time is agreed, the Seller will deliver the goods within 30 days of conclusion of the Contract. If the Seller fails to deliver within the agreed time, the Consumer may set an appropriate additional period; if the goods are not delivered within that period, the Consumer may terminate the Contract and is entitled to a refund of all payments made.

6.4 The Buyer shall inspect the shipment on delivery, in particular the integrity of the packaging and the number of packages. Visible damage to the shipment shall be noted in the carrier's delivery record or, where possible, the shipment refused, and reported to the Seller without undue delay, ideally with photographs. For Consumers, failure to do so does not affect their statutory rights for lack of conformity.

6.5 The Seller insures goods in transit only where the Contract so provides.

6.6 Delivery dates are subject to availability of materials and capacity of the Seller's production partners. The Seller will inform the Buyer without undue delay of any foreseeable delay.

Article 7 – Passing of Risk and Retention of Title

7.1 Consumers only: Risk of loss of or damage to the goods passes to the Consumer when the Consumer, or a third party designated by the Consumer other than the carrier, takes physical possession of the goods.

7.2 Business Customers only: Risk of loss of or damage to the goods passes to the Business Customer when the goods are handed over to the first carrier for transport, or on collection where the goods are collected in person.

7.3 Ownership of the goods passes to the Buyer only on payment of the full purchase price.

Article 8 – Right of Withdrawal (Consumers only)

8.1 A Consumer may withdraw from a Contract concluded at a distance without giving any reason within 14 days. The withdrawal period expires 14 days after the day on which the Consumer, or a third party designated by the Consumer other than the carrier, takes physical possession of the goods; where several goods ordered together are delivered separately, after possession of the last item. This right also applies where goods ordered online are collected in person.

8.2 To exercise the right of withdrawal, the Consumer must inform the Seller by an unequivocal statement sent before the withdrawal period expires:

– by using the withdrawal function on the Website, labelled "Withdraw from contract here", available throughout the withdrawal period;

– by e-mail to info@mrhoreca.eu; or

– by letter to VYNIKNI, s.r.o., Puškinova 9, 085 01 Bardejov, Slovak Republic.

The Consumer may use the model withdrawal form in Annex 1, but is not obliged to. The Seller will confirm receipt of the withdrawal by e-mail without undue delay.

8.3 Exceptions. The right of withdrawal does not apply to:

– Bespoke Goods, that is, goods made to the Consumer's specifications or clearly personalised, in particular goods bearing the Consumer's logo, name, text or artwork, or made to non-standard dimensions;

– goods supplied in sealed packaging which are not suitable for return for health protection or hygiene reasons, once unsealed after delivery;

– goods which, by their nature, are inseparably mixed with other items after delivery;

– other contracts excluded from the right of withdrawal under Act No. 108/2024 Coll.

Goods configured solely by choosing standard dimensions, colours or finishes offered in the configurator, without personalisation, are not Bespoke Goods for the purposes of this Article and may be returned.

8.4 Return of the goods. The Consumer shall send back the goods to Puškinova 9, 085 01 Bardejov, without undue delay and no later than 14 days after communicating the withdrawal. The deadline is met if the goods are sent before the 14 days expire. The Consumer bears the direct cost of returning the goods.

8.5 Refund. The Seller will refund all payments received from the Consumer, including the cost of delivery (except supplementary costs arising from the Consumer's choice of a delivery method other than the least expensive standard delivery offered), without undue delay and no later than 14 days after receiving the notice of withdrawal. The Seller may withhold the refund until it has received the goods back or the Consumer has supplied evidence of having sent them, whichever is earlier.

8.6 The refund will be made using the same means of payment as the Consumer used for the original transaction, unless the Consumer has expressly agreed otherwise; in any event, the Consumer will not incur any fees as a result of the refund.

8.7 The Consumer is liable only for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the goods.

8.8 Where a gift is supplied with the goods, the gift agreement is concluded subject to the condition that it ceases to have effect if the Consumer withdraws from the Contract. The Consumer shall then return the gift together with the goods; if it is not returned, its value constitutes unjust enrichment of the Consumer.

Article 9 – Voluntary 30-Day Returns (Consumers only)

9.1 In addition to the statutory right of withdrawal, the Seller voluntarily extends the period for returning goods to 30 calendar days from the day the Consumer takes possession of them, provided the goods are complete, undamaged, unused and in their original packaging.

9.2 Articles 8.2 to 8.8 apply to such returns accordingly. This commercial undertaking does not apply to Bespoke Goods and does not affect the Consumer's statutory rights.

Article 10 – Returns by Business Customers (Business Customers only)

10.1 Business Customers have no statutory right to withdraw from a Contract concluded at a distance. The Seller may, at its sole discretion and on written request, accept the return of unused, non-personalised goods in their original packaging within 14 days of delivery.

10.2 Accepted returns are credited at the price paid, less a handling fee of 15% and any reduction for wear or damage as assessed by the Seller. Return shipping is at the Business Customer's cost. Bespoke Goods cannot be returned.

10.3 Where the Seller and the Business Customer do not agree on the terms of a return, the goods will be sent back to the Business Customer at the Business Customer's cost.

10.4 Any credit note or refund in favour of a legal entity will be paid only to a person authorised to act on its behalf, namely its statutory body or a person holding an officially certified power of attorney, or to the bank account from which payment was made.

Article 11 – Conformity, Warranty and Complaints

11.1 The Seller is liable for the goods being in conformity with the Contract at the time of delivery, in particular as to description, quantity, quality, functionality and suitability for the purpose agreed or customary for goods of that type.

11.2 Consumers only: The Seller is liable for any lack of conformity that becomes apparent within 24 months of delivery, in accordance with the Civil Code, Act No. 108/2024 Coll. and Directive (EU) 2019/771. The Consumer is entitled, at their choice, to have the goods repaired or replaced free of charge; where this is impossible, disproportionate, not carried out within a reasonable time or the defect persists, the Consumer is entitled to a proportionate price reduction or to terminate the Contract. Termination is not available for a minor lack of conformity.

11.3 Business Customers only: The warranty period is 12 months from delivery. The Business Customer shall inspect the goods without undue delay after delivery and notify the Seller in writing of any apparent defect within 5 working days of delivery, and of any hidden defect without undue delay after discovering it, failing which the rights arising from the defect lapse. The Seller shall choose, at its discretion, whether to remedy the defect by repair, replacement or a price reduction. This does not affect the statutory period for notifying hidden defects under Section 429(2) of the Commercial Code.

11.4 How to make a complaint. The Buyer may make a complaint by e-mail to info@mrhoreca.eu, by letter, or in person at Puškinova 9, 085 01 Bardejov, stating the order number, a description of the defect and the remedy sought, ideally with photographs. Where the Seller requests it, the Buyer shall send the goods to that address. The Seller will reimburse a Consumer for the reasonable cost of sending goods under a justified complaint.

11.5 The Seller will confirm receipt of the complaint without undue delay and will decide on it and resolve it no later than 30 days from the day it was made, unless a longer period is agreed. The Seller will provide the Consumer with written confirmation of how the complaint was handled.

11.6 The following are not defects: characteristics described in Articles 4.3 to 4.5; normal wear and tear; and damage caused by improper use, maintenance or storage contrary to the Seller's instructions, by mechanical damage after delivery, or by exposure to moisture, heat or chemicals beyond the product's intended use.

Article 12 – Liability

12.1 Nothing in these Terms excludes or limits the Seller's liability for death or personal injury caused by its negligence, for fraud, for intentional or grossly negligent conduct, or any liability that cannot be excluded or limited under applicable law.

12.2 Business Customers only: Subject to Article 12.1, the Seller is not liable for loss of profit, loss of business, loss of goodwill or any indirect or consequential loss. The Seller's total liability arising from or in connection with a Contract is limited to the price of the goods under that Contract.

12.3 The Seller is not liable for failure or delay in performance caused by events beyond its reasonable control, including natural disasters, pandemics, war, strikes, failures of carriers or suppliers, and governmental measures. The Seller will inform the Buyer without undue delay; if the event continues for more than 60 days, either party may terminate the affected Contract and any payment for undelivered goods will be refunded.

Article 13 – Intellectual Property and Artwork

13.1 The Buyer warrants that it holds all rights, including copyright and trade mark rights, to any logos, names, texts, images and other artwork it supplies for Bespoke Goods, and that their use does not infringe any third-party rights or the law.

13.2 Business Customers only: The Business Customer shall indemnify the Seller against all claims, damages and costs, including reasonable legal fees, arising from any third-party claim that the supplied artwork infringes their rights.

13.3 The Seller may refuse to produce goods with artwork that is unlawful, offensive or infringes third-party rights, and may then cancel the Order and refund any payment received.

13.4 Designs, visualisations, proofs and product photographs created by the Seller remain the Seller's intellectual property. They may not be used to have the goods manufactured by a third party without the Seller's prior written consent.

13.5 Business Customers only: Unless the Business Customer objects in writing, the Seller may display photographs of the finished products bearing the Business Customer's branding in its portfolio, on the Website and on social media, solely for reference purposes.

Article 14 – Personal Data

14.1 The Seller processes the Buyer's personal data as controller in accordance with Regulation (EU) 2016/679 (GDPR) and Act No. 18/2018 Coll. on Personal Data Protection, for the purposes of concluding and performing the Contract, issuing tax documents and handling complaints.

14.2 Details of the processing, retention periods, recipients and the data subject's rights are set out in the Privacy Policy (https://www.mrhoreca.eu/privacy-policy), which forms a separate document and not part of the Contract.

Article 15 – Complaints Handling, ADR and Supervisory Authority

15.1 If the Buyer is dissatisfied with the handling of an Order, the goods or the Seller's services, they may contact the Seller at info@mrhoreca.eu.

15.2 Consumers only: If the Seller rejects a Consumer's request for redress, or does not reply within 30 days of the request being sent, the Consumer may submit a proposal for alternative dispute resolution (ADR) under Act No. 391/2015 Coll. to an ADR entity, in particular the Slovak Trade Inspection (Slovenská obchodná inšpekcia), www.soi.sk, or another competent entity listed on the website of the Ministry of Economy of the Slovak Republic. ADR is available for disputes arising from a consumer contract whose value exceeds EUR 20. The ADR entity may charge a fee not exceeding EUR 5 including VAT. Consumers resident in another EU Member State may also seek assistance from the European Consumer Centre in their country.

15.3 Supervisory authority: Slovak Trade Inspection, Inspectorate for the Prešov Region, Obrancov mieru 6, 080 01 Prešov, Department of Supervision, www.soi.sk.

Article 16 – Governing Law and Jurisdiction

16.1 The Contract and any non-contractual obligations arising from or in connection with it are governed by the laws of the Slovak Republic. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

16.2 Consumers only: The choice of law does not deprive a Consumer of the protection afforded by the mandatory provisions of the law of the country of their habitual residence, in accordance with Article 6 of Regulation (EC) No 593/2008 (Rome I). A Consumer may bring proceedings in the courts of the Slovak Republic or of their Member State of residence.

16.3 Business Customers only: The courts of the Slovak Republic having jurisdiction over the Seller's registered office have exclusive jurisdiction over any dispute arising from or in connection with the Contract.

Article 17 – Final Provisions

17.1 The Seller may amend these Terms. The version in force on the date the Order is submitted applies to that Contract.

17.2 Individual agreements in writing between the Seller and the Buyer, including accepted quotations, take precedence over these Terms.

17.3 If any provision of these Terms is or becomes invalid or unenforceable, the remaining provisions remain unaffected. The invalid provision shall be replaced by a valid provision that most closely reflects its economic purpose.

17.4 These Terms are available on the Website in a form that allows them to be stored and reproduced, and are sent to the Buyer with the order confirmation.

17.5 These Terms come into force on 1 November 2026 and replace all previous versions.
